CCI Approves Honda Motor’s Acquisition of Additional Voting Interest in Astemo

The Competition Commission of India (CCI) has approved the acquisition of a 21% voting interest in Astemo, Ltd. by Honda Motor Co., Ltd. The said combination involves Honda Motor Co., Ltd. acquiring the 21% voting interest in Astemo, Ltd. from Hitachi, Ltd. 

Parties to the Transaction 

Honda Motor Co., Ltd., the acquirer, is a limited liability joint stock corporation incorporated under the Companies Act of Japan as Honda Giken Kogyo Kabushiki Kaisha. It is the flagship company of the Honda Group. 

In India, Honda is primarily engaged in the manufacture and sale of automobiles, two-wheelers and power products. The company is also involved in the manufacture and sale of automotive components for automobiles and two-wheelers, as well as research and development activities. 

About Astemo, Ltd. 

Astemo, Ltd. was incorporated in 2009 under the laws of Japan. The company was merged and integrated in 2021 and is currently jointly controlled by Honda Motor Co., Ltd., Hitachi, Ltd., and JICC-01 Investment Business Limited Partnership. 

In India, Astemo is primarily engaged in the manufacture and sale of automotive components for automobiles and two-wheelers. It also undertakes the sale of components for power products and carries out ancillary research and development activities.
