CCI Approves Merger of AAPC India, Triguna, Caddie, etc. into InterGlobe Hotels

The Competition Commission of India (CCI) has approved a proposed combination involving share acquisition(s) and the merger of multiple entities into InterGlobe Hotels Private Limited (IGH). 

The approved combination includes the merger of AAPC India Hotel Management Private Limited (AAPC India), Caddie Hotels Private Limited (Caddie), Triguna Hospitality Ventures (India) Private Limited (Triguna), Srilanand Mansions Private Limited (SMPL), Techpark Hotels Private Limited (Techpark), and Accent Hotels Private Limited (Accent) with and into InterGlobe Hotels Private Limited. 

Entities Involved in the Transaction 

According to the information released, Interglobe Enterprises Private Limited is an investment holding company wholly owned and controlled by the Bhatia Family. 

AAPC Singapore Pte. Ltd., which is wholly owned and controlled by Accor S.A., the ultimate holding company of the Accor Group, is engaged in management consultancy services for hotels outside India. 

IGH, AAPC India, Triguna and Caddie are jointly owned and controlled by the Bhatia Family Group and the Accor Group. 

Business Activities of the Companies 

InterGlobe Hotels Private Limited is engaged in: 

  • Owning and developing Accor-branded hotels managed by AAPC India;  
  • Leasing office buildings and commercial space; and  
  • Providing consultancy and support services on a captive basis in India.  

AAPC India is engaged in: 

  • Managing Accor-branded hotels;  
  • Franchising Accor-branded hotels; and  
  • Providing consultancy services for Accor-branded hotels in India.  

Triguna functions as an investment holding company. 

Caddie is engaged in: 

  • Owning and developing Accor-branded hotels operated or managed by AAPC India; and  
  • Leasing an office tower located in a hotel in Delhi.  

Role of the Remaining Entities 

The press release states that Srilanand Mansions Private Limited (SMPL), Techpark Hotels Private Limited, and Accent Hotels Private Limited are wholly owned subsidiaries of Triguna. These entities are also engaged in owning and developing Accor-branded hotels. 

The CCI approval relates to the proposed share acquisition(s) and merger of these entities into InterGlobe Hotels Private Limited as part of the approved combination.
