The Competition Commission of India (CCI) has approved the acquisition of a certain stake in Restaurant Brands Asia Limited by Lenexis Foodworks Private Limited, Aayush Agrawal Trust, Inspira Foodworks Private Limited, Aayush Madhusudan Agrawal, and Inspira Agro Trading LLC.
The proposed combination will take place through various steps, including equity subscriptions, warrant subscriptions, equity purchases, and an open offer.
Acquiring Entities and Business Activities
Lenexis Foodworks Private Limited operates in the quick service restaurant (QSR) sector and runs restaurant brands including Chinese WOK, The Momo Co, and Big Bowl Co across India.
Aayush Agrawal Trust is described as a discretionary private trust established under the Indian Trusts Act, 1882. It serves as the primary investment vehicle for Aayush Madhusudan Agrawal and his family, with Agrawal acting as the sole trustee.
Inspira Foodworks Private Limited is proposed to function as a strategic investment and operating vehicle focused on expanding the existing QSR business of Lenexis Foodworks.
Inspira Agro Trading LLC is engaged in the trading of cardamom in the UAE.
