Companies (Accounts) Rules Amended to Extend Compliance Deadline

The Ministry of Corporate Affairs issued a notification on May 19, 2025, introducing the Companies (Accounts) Amendment Rules, 2025. This delegated legislation was enacted by the Central Government in exercise of the powers conferred by various sub-sections of sections 128, 129, 133, 134, 135, 136, 137, and 138, read with section 469 of the Companies Act, 2013. The new rules serve to further amend the existing Companies (Accounts) Rules, 2014. Specifically, the amendment modifies a crucial compliance timeline within the principal rules. The Companies (Accounts) Amendment Rules, 2025, came into force immediately upon their publication in the Official Gazette on May 19, 2025. The primary impact of these rules is on companies and other entities governed by the Companies Act, 2013, particularly concerning their accounting and financial reporting obligations under the Companies (Accounts) Rules, 2014.

The legislative intent behind these amendment rules is to provide additional time for compliance with certain provisions. The earlier legal position mandated a specific action or submission to be completed by March 31, 2025. This amendment addresses a potential practical limitation or difficulty faced by entities in adhering to the original statutory timeline. By extending this period, the Central Government aims to facilitate smoother compliance and reduce potential non-compliance issues. The amendment specifically targets Rule 12 of the Companies (Accounts) Rules, 2014, within sub-rule (1B), and more precisely, its fourth proviso. The legislation provided: “In the Companies (Accounts) Rules, 2014, in rule 12, in sub-rule (1B), in the fourth proviso, for the words, figures and letters "on or before 31st March, 2025", the words, figures and letters "on or before 30th June, 2025" shall be substituted.” This substitution effectively extends the deadline by three months, moving it from March 31, 2025, to June 30, 2025. This adjustment to the statutory timeline reflects a policy rationale to ensure that regulated entities have adequate opportunity to fulfill their obligations without undue pressure, thereby supporting the overall regulatory framework for corporate accounting. The principal rules, the Companies (Accounts) Rules, 2014, were originally published on March 31, 2014, and had been last amended on December 31, 2024, prior to this latest modification.
